Confidential Information and Confidential Materials
(a)"Confidential Information" means non-public information which, under the circumstances surrounding disclosure ought to be treated as confidential."Confidential Information" includes, without limitation, information relating to released or unreleased Disclosing Party software or hardware products, the marketing or promotion of any Disclosing Party product,the Disclosing Party's business policies or practices, operations and assets, including but not limited to financial statements, supplier, client or customer lists, prospect lists and pipeline reports, corporate books and records, pro formas, procedures for conducting business, business plans, operating plans, projections, computer software (including all rights under licenses and other contracts relating thereto), all intellectual property (including all trademarks, trademark registration and applications, service marks, copyrights and trade secrets), proprietary marketing information and know-how, sales records, price lists, sales literature, advertising material, manuals, processes, technology and information received from others that Disclosing Party is obligated to treat as confidential.Confidential Information disclosed to Receiving Party by any Disclosing Party Subsidiary and/or agents is covered by this Agreement.
(b)Confidential Information shall not include any information that: (i) is or subsequently becomes publicly available without Receiving Party's breach of any obligation owed Disclosing Party; (ii) became known to Receiving Party prior to Disclosing Party's disclosure of such information to Receiving Party; (iii) became known to Receiving Party from a source other than Disclosing Party whom the Receiving Party has a reasonable basis to believe would not constitute a breach of an obligation of confidentiality owed to Disclosing Party; or (iv) is independently developed by Receiving Party.
(c)"Confidential Materials" shall mean all tangible materials containing Confidential Information, including without limitation written, video or printed documents and computer software, drives, disks or tapes, whether machine or user readable.
Restrictions
- Receiving Party shall use the Confidential Information solely for the purpose of determining whether to enter into a business transaction or relationship with the Disclosing Party and for no other purpose nor for the benefit of any other person.
(b)Receiving Party shall take reasonable security precautions, at least as great as the precautions it takes to protect its own confidential information, to keep confidential the Confidential Information.Receiving Party may disclose Confidential Information or Confidential Material only to Receiving Party's employees or consultants on a need-to-know basis.
(c)Confidential Information and Confidential Materials may be disclosed, reproduced, summarized or distributed only in pursuance of Receiving Party's business relationship with Disclosing Party, and only as otherwise provided hereunder.Receiving Party agrees to segregate all such Confidential Materials from the confidential materials of others in order to prevent commingling.
(d)Receiving Party may not reverse engineer, decompile or disassemble any software disclosed to Receiving Party.
By accessing the Hotel Connections E-Learning center you herby adhere to any and all terms, disclosures and notices and agree this information is proprietary, confidential and intellectual property of the application and its ownership. This information is not to be shared with any part other than your direct staff and only upon authorization by Hotel Connections Inc.
